These Terms and Conditions ("Terms") govern your use of ApexClub (the "Platform"), owned and operated by ApexClub SAS, a company registered in Paris, France (the "Company," "we," "our," or "us"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the Platform.

1. Definitions

• Investor: An individual who creates an account and invests in fractional shares of vehicles listed on the Platform.
• Vehicle Listing: A car listed on the Platform for fractional investment, with associated documentation and appraisal.
• User: Any individual or entity using the Platform, whether as an Investor or visitor.
• Services: All features of the Platform, including vehicle listings, investment management, portfolio tracking, and returns distribution.

2. Eligibility

• Users must be at least 18 years old.
• Investors must complete KYC (Know Your Customer) verification before making investments above $10,000.
• By using the Platform, you confirm all information you provide is accurate, truthful, and kept up to date.

3. Use of the Platform

Users agree not to:

• Upload false, misleading, unlawful, or inappropriate content.
• Misuse the Platform, including by scraping, copying, spamming, or introducing harmful code.
• Use investment data for any purpose other than personal portfolio management.
• Harass, exploit, or discriminate against other Users.

We may suspend, restrict, or terminate any account at any time, at our sole discretion, without notice or liability.

4. Investor Responsibilities

• All investment decisions are made at the Investor's own risk.
• Past performance of listed vehicles does not guarantee future returns.
• Investors are responsible for understanding and complying with their local tax obligations.

5. Intellectual Property

All content on the Platform — including logos, vehicle appraisals, designs, and software — is the exclusive property of ApexClub SAS or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

6. Limitation of Liability

To the fullest extent permitted by law, ApexClub SAS shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including loss of investment value.

7. Governing Law

These Terms are governed by the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France.
